To safeguard and defend the Company’s Business interests by minimizing/eliminating Legal exposure and conduct Business operations in a legally compliant manner.
Develop a yearly legal calendar and build the direction and strategy for legal and compliant work for YHS (Cambodia) Food & Beverage Pte Ltd. with alignment from YHS Group.
Assist business in negotiation, structuring and documentation of various contracts with Distributors, Key accounts, Service providers, Suppliers, etc. within corporate guidelines; constantly monitor performance of various contracts
Manage, draft and review legal documents and attend to litigation matters of the YHS (Cambodia) Food & Beverage Pte Ltd.
Review and draft contract, amendment, addendum to be suitable for company business by working with legal agency.
Lead the process to get legal licenses and renewal from related ministries or government institutions (MOC, MIH, MOE, HOH, CDC, etc.) to Operate.
Prepare and submit compliance reports to related ministries or government institutions.
Provide practical legal advice on a wide range of issues.
Monitor and review the quality and cost of services provided by third party counsel for area of practice .and take steps to optimize these costs.
Ensure statutory requirements YHS Cambodia establishments are met.
Advise on legal principles, provisions, guidelines and best practices.
Provide legal and secretariat support to YHS Cambodia exercise whenever required.
Protect and monitor the Intellectual Property Rights of the company.
Manage and maintain statutory registers and corporate documents.
Lead Due Diligence for third parties.
Translate contract/documents from KH-En verse.
Investigate the Code of Conduct case with relevant function and recommend the disciplinary action
Be Company representative to work with Court for any legal dispute.
Any other duties assigned.
Bachelor’s Degree in Law or its equivalent and qualified to act as Company Regulatory Affairs
Experience in registration process, specific local regulatory requirements, and licenses with ministries or government institutions such as MOC, MIH, MOE, HOH, CDC, etc. is an advantage
Must have a proven ability to communicate effectively in English in both written and verbal format
Proven background in corporate law (experience with contract law and drafting, intellectual property law, and corporate governance)
Minimum 7 of years’ relevant experience
Excellent writing and communication skills
Good interpersonal skills
Ability to work independently with minimal supervision
